These Terms govern use of the Ecommerce Ops service provided by Ecommerce Ops, Inc.

1. Agreement

By creating an account or using Ecommerce Ops (the "Service"), you agree to these Terms. If you use the Service on behalf of a business, you confirm you are authorized to bind it.

2. The Service

Ecommerce Ops is a multi-channel order-management and fulfillment tool: it syncs orders from connected sales channels, supports pick/pack/ship, returns, and refunds, and pushes fulfillment updates back to the channel. Features available to you depend on your plan.

You agree not to misuse the Service, including: breaking the law; infringing others' rights; attempting to breach security or access other tenants' data; overloading or disrupting the Service; or reselling it without authorization.

7. Connected channels

The Service integrates with third-party channels (e.g. Shopify, eBay, Amazon). Your use of those channels is governed by their terms; we are not responsible for them and are not affiliated with them. You are responsible for maintaining valid authorizations for the channels you connect.

8. Intellectual property

We and our licensors own the Service and all related IP. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse-engineer, or create derivative works except as permitted by law.

9. Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free. To the maximum extent permitted by law, our aggregate liability is limited to the amounts you paid us in the twelve (12) months before the claim, and we are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Term & termination

Either party may terminate as set out here or on the billing page. On termination we will, on request and within a reasonable period, make your data available for export and then delete it, except where retention is legally required. We may suspend or terminate accounts that breach these Terms.

11. Changes to these Terms

We may update these Terms; material changes will be posted here with a new effective date, and continued use after that constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence.
